Terms of Service
These Terms of Service (“Terms”) govern your use of PayMyReps, a commission calculation and distribution platform operated from the United Kingdom. By creating an account or using our service, you agree to these Terms in full. Please read them carefully — we’ve kept the language as plain as possible.
1. What PayMyReps does
PayMyReps is a software-as-a-service (SaaS) tool that helps sales operations teams calculate, verify, and distribute commission payments. You upload your sales data, configure your commission rules, and PayMyReps calculates each representative’s earnings and (optionally) sends them a personalised statement by email.
2. Eligibility
You must be at least 18 years old and have authority to enter into a binding contract on behalf of your business. PayMyReps is intended for business use, not personal or consumer use. By creating an account, you confirm that you’re acting in a professional capacity.
3. Your account
You are responsible for keeping your login credentials secure. Because we currently use email-based authentication, you should use a work email address that only you control. If you believe your account has been accessed without your permission, contact us immediately.
You may not share your account with others. Each person who uses PayMyReps must have their own account.
4. Acceptable use
You agree not to:
- Use PayMyReps to process data you are not authorised to handle
- Upload data containing unlawful content or content that infringes a third party’s rights
- Attempt to reverse-engineer, copy, or resell the PayMyReps platform or its underlying software
- Use automated tools to scrape, crawl, or stress-test our systems without prior written consent
- Introduce malware, viruses, or any code designed to disrupt or damage the service
- Use the platform in any way that violates applicable law, including UK data protection legislation
5. Your data
Any data you upload to PayMyReps — including sales figures, representative names, and email addresses — remains yours. We process it on your behalf to deliver the service. We do not sell your data, use it for advertising, or share it with any third party other than the sub-processors listed in our Privacy Policy.
By using PayMyReps, you confirm that you have the legal right to upload and process the data you provide, including any personal data belonging to your sales representatives. You are the data controller; PayMyReps is your data processor. Our obligations as your processor are set out in our Data Processing Agreement.
6. Subscription and billing
PayMyReps is offered on a paid subscription basis. Pricing details are published on our website. We reserve the right to change our pricing with reasonable notice (at least 30 days) provided by email.
Online billing via credit or debit card (through Stripe) is coming soon. Until then, payment arrangements are handled directly. Contact us at support@paymyreps.com to discuss payment.
All prices are quoted in GBP and are exclusive of VAT unless stated otherwise. UK VAT will be added where applicable.
7. Free trial
We may offer a free trial period, the length and terms of which will be communicated at sign-up. No credit card is required to start a free trial. At the end of the trial period, continued access requires a paid subscription.
8. Intellectual property
PayMyReps and all related technology, branding, and documentation are our intellectual property. We grant you a limited, non-exclusive, non-transferable licence to use the platform solely for your internal business purposes during the term of your subscription.
You retain all intellectual property rights in the data you upload and the commission rules you configure.
9. Uptime and service levels
We aim to keep PayMyReps available and performant, but we do not currently offer a formal SLA with guaranteed uptime. We will endeavour to notify you in advance of planned maintenance windows. You can contact us at any time if you experience service issues.
10. Limitation of liability
To the fullest extent permitted by UK law, PayMyReps’s total liability to you for any claim arising out of or related to your use of the service will not exceed the amount you paid us in the 3 months preceding the claim.
We are not liable for any indirect, consequential, or special damages, or for any loss of profit or business opportunity — even if we were advised of the possibility of such losses.
Important: Commission calculations produced by PayMyReps are based entirely on the data and rules you configure. You are responsible for verifying outputs before using them for payroll purposes. We recommend reviewing every run before finalising payments.
11. Warranties and disclaimers
PayMyReps is provided “as is.” To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. We do not warrant that the service will be error-free or uninterrupted.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be excluded.
12. Termination
You may close your account at any time by contacting us. We may suspend or terminate your account if you materially breach these Terms and fail to remedy the breach within 14 days of notice.
On termination, your access to the platform will end. We will retain your data in accordance with our Privacy Policy (up to 2 years for commission run data, up to 90 days for account data) before permanent deletion.
13. Changes to these Terms
We may update these Terms from time to time. We will give you at least 30 days’ notice of material changes by email. Continued use of the service after that date constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
